These Terms of Service govern your use of Menuzi. The English version of these Terms prevails in case of any discrepancy with a translation.

Who we are and who you contract with

Menuzi is a software service owned and developed by Bytes Maestros AB, a company registered in Sweden (org.nr 559468-7831), Sjödalsvägen 18, 141 47 Huddinge, Sweden. In Egypt, Menuzi is operated, marketed and supported under licence by Menuzi Software Solutions LLC (commercial registration no. 32640), Alexandria, Egypt.

Your contracting party ("Menuzi", "we", "us", "our") depends on the country of your business account:

  • Egypt: Menuzi Software Solutions LLC.
  • Every other country: Bytes Maestros AB.

The country of your account is the country you select when you sign up. It also determines your currency and pricing region. Contact: support@menuzi.com.

The Service

Menuzi is a business tool that lets you create, design, translate, host and publish your menus online with a link and QR code; import an existing menu; manage branches and team members; check menus for missing content; customise how a menu appears in search engines and social previews; view analytics about how guests use your menus; and, on plans that include it, receive orders that guests place from your published menu. What each plan includes is described on our pricing page. We may add, change, or remove features over time.

Who may use the Service

The Service is for businesses. By creating an account you confirm that: (a) you are at least 18 years old; (b) you are using the Service for purposes relating to your trade, business, craft or profession (not as a consumer); and (c) you are authorised to enter into these Terms on behalf of the business you represent, which will be bound by them.

Your account: one brand, one legal entity

You are responsible for the accuracy of your registration details, for keeping your credentials secure, and for all activity under your account. Tell us promptly at support@menuzi.com of any unauthorised use.

One brand per account. An account represents one brand operated by one legal entity; a sole trader counts as one legal entity for these Terms. A brand is the name under which you offer products or services to guests through a menu (for example, "X Sushi" or "Y Salon"). Sister concepts, sub-brands, and any brand operated by a different legal entity, including a franchisee, are separate brands and need separate accounts, each with its own subscription. An account may not be shared between brands or between legal entities.

Branches. A branch is a physical location or service point of your brand, operated by your legal entity, at which a menu from your account is displayed, linked or scanned by guests (for example, "X Sushi — Stockholm"). Several service areas at one address count as one branch.

Your subscription must cover every branch. The Free and Menus Lite plans cover one branch. On Menus+ and Orders+, the number of branches you subscribe to must at all times be at least the number of branches using any menu from your account, whether or not each branch is registered in the product. Using the same menu, QR code or link at more branches than your subscription covers is a breach of these Terms (see "Under-licensed use").

Team members. On plans that include team management you may invite members to your account and assign them roles. Members act on behalf of your account; you are responsible for their actions, for the roles you assign, and for removing members who leave your business.

Plans, prices and branch count

Plans. Menuzi offers a Free plan and the paid plans Menus Lite, Menus+ and Orders+. The features and limits of each plan are described on our pricing page and in the product. The pricing page as it stands when you subscribe governs your subscription.

Branch-based pricing. Menus+ and Orders+ are priced by the number of branches on the subscription. Subscriptions for more than five branches are arranged on request.

Currency and region. Prices are set per pricing region according to the country of your account: Egyptian pounds for Egypt, Swedish kronor for Sweden, and euros everywhere else.

Taxes. Prices exclude VAT and other applicable taxes. Where we or our payment partner are required to collect VAT or other taxes, they are added at checkout or on the invoice. If you hold a VAT or tax registration, provide it so it can be applied correctly.

Free plan. The Free plan is provided free of charge with the limits shown on the pricing page. We may change its features and limits over time; for changes that materially and adversely affect your existing use, we will give reasonable prior notice (for example, by email or in-product).

Payment, renewal and cancellation

Billing period. Paid plans are billed in advance, monthly or yearly. A yearly subscription is charged once for the whole year at the yearly price shown on the pricing page.

Payment methods. You pay by invoice and bank transfer. Online payment through the payment partners listed on our Subprocessors page will be offered as we enable each partner. Where a payment partner acts as merchant of record, that partner's checkout terms apply to the payment itself and it issues your receipt or invoice; these Terms continue to govern your use of the Service.

Automatic renewal. Subscriptions renew automatically for the same billing period at the price in force at renewal, unless you cancel before the current period ends. For subscriptions paid by invoice, we issue the renewal invoice before the period ends.

Cancellation. You may cancel a paid subscription at any time by contacting support. Cancellation takes effect at the end of the current billing period; your account then moves to the Free plan. We do not refund the unused part of a billing period, except where the law requires it or we agree otherwise in writing.

Late or missing payment. If a payment is not received by its due date, we may suspend paid features 7 days after the due date and, if payment is still outstanding, move your account to the Free plan. Content that exceeds the Free plan's limits is handled as described under "Plan changes". For invoices issued by Bytes Maestros AB, statutory late-payment interest and recovery costs under Swedish law apply.

Price changes. We may change our prices. We will give you at least 30 days' notice by email before a price change applies to you, and it applies from your next renewal. You may cancel before the renewal if you do not accept the new price.

Under-licensed use

If your account is used for more than one brand or legal entity, or at more branches than your subscription covers, we will notify you and invoice the difference from the date the excess began. If your account is not brought into compliance within 14 days of our notice, we may terminate your subscription, unpublish all your menus and close your account, without refund. We may ask you to confirm your branch count and may use usage data (for example, where your menus are scanned) to verify it.

Plan changes

Upgrades and additional branches take effect immediately. We charge the price difference for the remainder of the current billing period.

Downgrades and fewer branches take effect at the end of the current billing period. Content that exceeds the limits of the new plan (for example, live menus, branches, languages, templates, team members, ordering or a custom domain) may stop working or become read-only. We will contact you so you can choose what to keep. If we do not hear from you within 14 days, we may unpublish or disable the excess ourselves.

Guest ordering

On plans that include ordering, guests can place orders from your published menu and Menuzi relays them to you. You are the seller and the only party to each sale. Menuzi does not process payments for guest orders and is not a party to the transaction between you and your guests. You are responsible for the prices and taxes you display, allergen and ingredient information, availability, preparation and fulfilment of orders, guest complaints and refunds, and compliance with the consumer, food and tax laws that apply to you. Order records form part of your account data and are handled as described in our Privacy Policy and Data Processing Addendum.

Custom domains

On plans that include it, we can serve your menus on a domain name you own. You remain responsible for the domain, its registration and its DNS settings, and you set the DNS records we ask for. We configure the domain on request and may stop serving it if the required DNS records are removed, the domain expires, or your plan no longer includes the feature.

Your content and the rights you give us

Your content. "Customer Content" means the menus, text, branding, images, prices and other materials you upload or create. As between you and us, you (or your licensors) own your Customer Content.

Your warranties. You confirm that you have all rights necessary to upload and use your Customer Content (including any images, logos, names or third-party material it contains) and that it does not infringe any third party's rights or any law. This applies equally to anything you upload to the menu-import feature.

Licence to operate the Service. You grant Menuzi a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt (for example, resize or format images), publish and display your Customer Content for the purpose of providing and operating the Service (including publishing your menus to guests and serving them via our content-delivery and image infrastructure).

Insights and product improvement. You also grant Menuzi the right to access, scan, analyse and inspect Customer Content and usage of the Service in order to operate, secure, support, analyse, improve and develop our products and services, including generating aggregated and/or de-identified insights, statistics and analytics. We do not currently use your Customer Content to train our own machine-learning models; if that changes, we will update these Terms and our Privacy Policy. We will handle any personal data within Customer Content in accordance with our Privacy Policy and applicable law.

Guest data. When guests view or order from your published menus, we process the related data on your behalf and on your instructions, as your processor, under our Data Processing Addendum, which forms part of these Terms. You are the controller of that data and are responsible for giving your guests any notice the law requires. Menuzi is an independent controller only for the limited processing of guest traffic described in our Privacy Policy: security and abuse prevention, error monitoring, aggregated service-improvement statistics, and verifying that accounts are used within their subscription.

Menu-import accuracy. The menu-import feature may produce inaccurate or incomplete results. Its output is a starting point only; you are responsible for reviewing and correcting any menu data before publishing. We do not warrant the accuracy of imported output.

Acceptable use

You must not: use the Service unlawfully or to publish unlawful, infringing, deceptive or harmful content; upload malware; attempt to gain unauthorised access to, disrupt, or reverse-engineer the Service (except as permitted by law); scrape or overload the Service; share one account between brands or companies; use the Service as an agency or reseller for other businesses without our written agreement; circumvent plan limits or entitlements; or resell or provide the Service to third parties except as expressly permitted. We may suspend or remove content or accounts that breach these Terms or the law.

Menuzi branding and advertising

Every menu published with Menuzi displays "Powered by Menuzi" branding. Menus published on the Free plan may additionally display non-personalised third-party promotional content. We will update our Privacy Policy and Subprocessors list before introducing any advertising that involves tracking technologies.

Our intellectual property

The Service, including the Menuzi software, design system, templates, trademarks and all related intellectual property, is owned by Bytes Maestros AB and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service per these Terms. No rights are granted except as expressly stated.

Third-party services

The Service relies on third-party providers (for example, hosting, storage, email, error monitoring, analytics, payment processing, and providers that help process uploaded content). The providers, their general purpose and their location are listed on our Subprocessors page, and their handling of personal data is described in our Privacy Policy.

Privacy and data processing

Our Privacy Policy explains how we handle personal data and forms part of these Terms. Our Data Processing Addendum governs the personal data of your guests that we process on your behalf and also forms part of these Terms.

Warranties and disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties (including merchantability, fitness for a particular purpose, and non-infringement) and do not warrant that the Service will be uninterrupted, error-free, or that imported output will be accurate. Nothing in these Terms excludes liability that cannot be excluded by law.

Limitation of liability

To the maximum extent permitted by law, Menuzi will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the total fees you paid to us in the 12 months before the event giving rise to the claim and (b) EUR 100. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for anything else that cannot lawfully be limited or excluded.

Indemnification

You will indemnify Menuzi against third-party claims and losses arising from your Customer Content, your use of the Service, your guest orders, or your breach of these Terms or applicable law, to the extent permitted by law.

Term, suspension and termination

These Terms apply while you use the Service. Cancelling a paid subscription (see "Payment, renewal and cancellation") keeps your account on the Free plan; deleting your account ends these Terms. You may ask us to delete your account at any time by contacting support@menuzi.com. We may suspend or terminate access for breach of these Terms or the law, for non-payment, for under-licensed use, or if required to do so. On termination, your right to use the Service ends, your published menus go offline, and we may delete your account and Customer Content after 30 days and will delete or anonymise them within 90 days, except where the law requires longer retention; ask us for a copy of any content you wish to keep beforehand. Sections that by their nature survive (intellectual property, disclaimers, liability, indemnity, governing law) continue after termination.

Changes to these Terms

We may update these Terms. We will notify you of material changes, by email or in-product, before they take effect, and update the "Last updated" date and version number. Changes required by law, or that only add features or benefits, may take effect immediately. Continued use after changes take effect means you accept the updated Terms.

General terms

Severability. If any provision of these Terms is held invalid or unenforceable, it is adjusted to the minimum extent needed and the remaining provisions stay in force.

Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate, or to a successor in a merger, acquisition or sale of the Service, and will notify you of any such assignment.

Entire agreement and precedence. These Terms, the Data Processing Addendum, the Privacy Policy and the pricing page form the entire agreement between you and Menuzi about the Service. In case of conflict, the Data Processing Addendum prevails for the processing it governs, then these Terms, then the other documents.

Force majeure. Neither party is liable for a failure or delay caused by events beyond its reasonable control (for example, outages of third-party infrastructure, natural disasters, war, strikes or acts of authorities), except for payment obligations.

Notices. We send notices to the email address of your account owner; you send notices to support@menuzi.com. A notice is deemed received one business day after it is sent.

Governing law and disputes

Where your contracting party is Bytes Maestros AB, these Terms are governed by the laws of Sweden, and the courts of Stockholm, Sweden have jurisdiction. Where your contracting party is Menuzi Software Solutions LLC, these Terms are governed by the laws of the Arab Republic of Egypt, and the courts of Alexandria, Egypt have jurisdiction. In both cases this is without prejudice to any mandatory rights or protections available to you under the law of your place of establishment. Where your contracting party is Menuzi Software Solutions LLC, we will provide a certified Arabic translation of these Terms on request.
